Terms of Service

These Terms of Service govern access to Shepherd websites, desktop apps, onboarding flows, dashboards, CLI and MCP tools, APIs, and related services. By using Shepherd, you agree to these terms on behalf of yourself or the organization you represent.

If you or your organization has a separate written agreement with Shepherd, that agreement controls where it conflicts with these terms.

Shepherd uses account and organization authentication, including WorkOS-based login and SSO where enabled. You are responsible for using accurate account information, keeping credentials secure, and ensuring that only authorized users access your organization.

Organization admins are responsible for inviting users, configuring sources, and making sure their use of Shepherd complies with their own policies and applicable law.

Shepherd works by connecting sources that you or your organization authorize. Those sources may include Google Workspace, Slack, Notion, Granola, GitHub, local Messages on macOS, Codex and Claude Code session metadata, office audio, Discord, Instagram, WhatsApp, Stripe, MCP clients, dashboard activity, and other sources you enable.

You must have the right to connect each source and to allow Shepherd to process the data made available through that connection. You control which optional sources to enable, and some sources may require local permissions or administrator approval.

You retain ownership of the content, files, messages, transcripts, metadata, credentials, tokens, and other information you provide or authorize Shepherd to access. You grant Shepherd the rights needed to host, process, index, summarize, embed, search, retrieve, generate memory and wiki artifacts from, secure, and support that content for the service.

Shepherd may process customer content through service providers, infrastructure providers, model providers, and connected-service APIs as needed to provide and operate the service. Our Privacy Policy explains these practices in more detail.

• Authorized use: Do not use Shepherd to access data you are not allowed to access or to bypass source, organization, or user permissions.
• No abuse: Do not attack, overload, reverse engineer, probe, scrape, spam, interfere with, or misuse Shepherd or connected third-party services.
• Sensitive activity: Do not use Shepherd for unlawful surveillance, credential theft, malware, harassment, or activity that violates privacy, employment, export-control, or communications laws.
• Human review: Review Shepherd outputs before relying on them or letting them affect people, accounts, source systems, customers, or business decisions.

Shepherd uses automated retrieval, summarization, and reasoning systems. Outputs can be incomplete, stale, or incorrect. Shepherd is not legal, medical, financial, tax, employment, or compliance advice.

You are responsible for deciding whether an output is appropriate for your use case and for obtaining professional review where needed.

Shepherd maintains technical and organizational controls designed to protect customer data, including scoped access controls, audit paths, and support-access boundaries. Some customer deployments may use stricter data-plane or no-employee-plaintext controls when they are separately configured and verified.

Do not treat ordinary production access control as a guarantee that no Shepherd employee can ever access customer plaintext. Any stronger access claim must be supported by the applicable deployment, proof, and written agreement.

Connected services and third-party providers are governed by their own terms and policies. Shepherd is not responsible for third-party service changes, outages, permissions, rate limits, security incidents, or data-handling practices outside Shepherd's control.

You are responsible for complying with the terms of each connected service you authorize Shepherd to use.

Paid features, pilots, or enterprise deployments may be subject to an order form or separate agreement. Unless a separate agreement says otherwise, fees are non-refundable except where required by law.

We may change the service and these terms as the product evolves. If a change materially affects your rights or obligations, we will provide notice through the service, by email, or by updating this page.

We may suspend or limit access if we believe use of Shepherd creates security risk, violates these terms, harms Shepherd or others, violates law, or threatens connected services. We will try to give notice when practical.

You may stop using Shepherd at any time. Termination does not affect obligations that reasonably survive, including payment obligations, confidentiality, data-processing obligations, disclaimers, and limits of liability.

Shepherd is provided on an as-is and as-available basis. To the fullest extent permitted by law, Shepherd disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

To the fullest extent permitted by law, Shepherd will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
